U.S. National Trust Bank Charter Applications — State of Play

A survey of pending, approved, and denied national trust bank (NTB) charter applications before the Office of the Comptroller of the Currency (OCC), compiled from public information. Fintechs and digital-asset firms have surged toward the NTB charter — a federal pathway for custody and (under the GENIUS Act) stablecoin activity that eases state-by-state oversight, though trust banks cannot lend or take deposits. Proposed-activities detail and conditions are drawn from each entity's OCC decision letter or application filing; every point is hyperlinked to its source.
Eleventh draft · Compiled September 21, 2026 · Sourced to OCC corporate decision letters, application public volumes, the OCC Corporate Applications Search (CATS/CAS), and comment letters (ICBA/BPI/NCRC). · Receipt dates flagged EXACT vs. APPROX., each APPROX. with a note on why it can't be pinned; conditions elaborated with the source letter cited.
Final approval Conditional approval Pending review Denied De novo / full bank (context)
Why some receipt dates are "APPROX." An OCC corporate decision letter states the decision date and the OCC control number, but usually not the application receipt date. A firm receipt date comes from one of three places: (1) the "Date Received" column of the OCC's Digital Assets Licensing Applications index; (2) the date stamped on the application document in the public volume; or (3) a decision letter that happens to recite "On [date], [applicant] filed…" (as BitGo's and Paxos's letters do). For six applicants — Fidelity, Crypto.com, Bridge, Laser Digital, Connectia Trust (Sony), and National Digital Trust Company — none of those yields a date, so the value is inferred from the OCC control-number filing year plus the press announcement date (which is the announcement, not the OCC's receipt); Connectia and National Digital Trust have also already moved off the public pending index since each has a decision, closing that avenue. To make any of these exact, pull that applicant's OCC Corporate Applications Search (CAS) record by filing ID — the same source that pins Wise to June 16, 2025 — or the OCC weekly bulletin's "applications received" listing for the relevant week. Those are query interfaces, not static pages, so they weren't captured in the research pass.

  • Perform collateral-trustee services "for the benefit of USDC holders on a fiduciary basis" (12 USC 92a / 12 CFR 9). OCC letter
  • Provide digital-asset custody "for its affiliates on a fiduciary basis." OCC letter

Filed 6/30/25 → conditional 12/12/25 → final approval July 10, 2026. Not yet open. Final
  • Activities limited to those in the approved business plan (i.e., those of a trust company and activities related thereto)
  • Conform, cease, or divest the collateral-trustee structure to comply with the GENIUS Act (12 USC 5901 et seq.)
  • 60-day advance notice of any significant business-plan deviation, and must obtain the OCC's written no objection
  • Minimum $6.05M Tier 1 capital, ≥50% in eligible liquid assets
  • Maintain ≥180 days of operating expenses in eligible liquid assets
  • OCC prior no-objection for appointment of senior executive officers (first 3 yrs)
Note: separate from the conditions above, the letter also sets out additional requirements the Bank must meet prior to requesting its preopening examination and before the OCC will grant final charter approval — see pp. 8–9 of the OCC letter. These are standard de novo chartering requirements (external audit, GAAP accrual financials, president on the board, 10%-subscriber reports, policies & procedures incl. BSA/AML/OFAC, security program, IT-architecture no-objection, 60-day pre-opening notice) and sit outside the conditions enforceable under 12 USC 1818.
Opposition — ICBA:
  • Granting the charter would undermine the stability of the financial system by allowing a non-traditional institution to offer deposit-like services without adequate regulatory oversight.
  • The OCC should reject FNDCB's application to prevent the risks posed by stablecoins, including potential deposit drainage, increased fraud, and circumvention of critical banking regulations.
  • The OCC must undertake formal rulemaking to clarify the scope of national trust bank powers and ensure alignment with congressional intent.

Most-commented application in the cohort's politics: the OCC received seven comments from four commenters. Grounds raised and rejected: OCC's authority to charter the bank; inadequate public disclosure and comment period; stablecoin issuance as a "deposit" requiring FDIC insurance; conflicts of interest involving President Trump and family, Alexander and Zachary Witkoff, and UAE investors in World Liberty Financial, Inc.; that the Comptroller (a presidential appointee) might give preferential treatment; CRA applicability; and calls for a CFIUS review. The OCC held that WLF, Inc. is not a party to the application and that Emoluments/CFIUS questions are outside the scope of its review, and noted approvals are made under authority delegated to career staff. Passivity commitments dated June 13, 2026 were obtained from StringZ Holdings RSC (DE) LLC, DT Marks SC LLC, and AMGUS, LLC. CD #1385. Pre-decision opposition: NCRC (Feb 9 '26); U.S. Senate letter (Sen. Reed et al.); Sen. Warren demanded rejection; House conflict-of-interest probe.
The "five" (OCC News Release 2025-125, Dec 12, 2025). Conditionally approved in one batch: Circle, Ripple (de novo) and BitGo, Fidelity, Paxos (conversions). A structural contrast: Circle and Ripple do not issue a stablecoin at the bank — the bank only manages the reserve "on a directed basis" and acts as collateral trustee, while the affiliated NY trust company issues USDC/RLUSD. BitGo, Fidelity, and Paxos each propose to issue a stablecoin at the bank. Circle has reached final approval (July 10, 2026); the other four remain conditional/pre-opening. Note the capital conditions scale with the business: from ~$6M (Circle, Laser Digital) up to $60M (Coinbase).

No OCC conditions exist yet for these — conditions are imposed only at (conditional) approval. Most receipt dates here are EXACT, taken from the OCC application document date / licensing index; one (Zaria) remains press-sourced APPROX. pending confirmation via the OCC index or CAS.

  • First filing listed the broadest activity set of the pending group: "custody over digital assets, fiat currency, and other assets; custodial staking and validation activities; transfer agent services; trade execution; stablecoin management; and settlement, clearing, and escrow services." OCC application (first filing)
  • Operations "limited to those of a trust company and activities related thereto"; requesting "full fiduciary powers" under 12 USC 92a. A "special purpose bank" that "does not perform commercial or retail banking services by granting credit to the public in the ordinary course of business," and will not seek FDIC deposit insurance. OCC application (first filing)
  • The refiling deliberately narrows this. Zerohash says the first application "covered a wide range of digital asset and fiduciary services" and that it has "since decided to take a sequenced approach to the authorization of services, with a more focused approval of national trust activities aligned with our intended rollout timeline." It has not disclosed which activities were dropped, and no public volume for the second filing was available this pass. American Banker

Under OCC Bulletin 2026-27 ("Filing Decision Process," June 17, 2026; NR-OCC-2026-47) the OCC may return a filing that "lacks sufficient information for the OCC to make a determination," "before engaging in any meaningful processing." The OCC gave no public reasons. Zerohash called the return "an administrative process," taken "in coordination with the OCC and … not a substantive decision on the merits." Press speculated the first filing named two different executives as Chief Compliance Officer in consecutive bullets; unconfirmed by the OCC. Opposition (first filing): ICBA (Apr 1) — reject/defer pending fuller disclosure + third-party verification of risk systems. None located yet on the refiling; the comment window is open. Denied

A denial is a decision on the merits under 12 CFR 5.13(b). A return is not — and the cohort's only return (Zerohash, July 17, 2026) was cured by a refiling on August 19, so it now sits under Pending Review with that history recorded in its row.

Filed 6/16/25 → denial letter July 21, 2026 (CD #1381); disclosed via SEC 6-K ~7/23, RNS 7/24. No standalone OCC press release. Denied Denied on AML/BSA/CFT grounds: unaddressed "key deficiencies" in the AML/CFT program; organizers/board/management lacked sufficient AML and fiduciary-banking competence. OCC referenced Wise's $4.2M multistate AML settlement plus a separate California DFPI consent order (context, not controlling). Bank groups argued the multicurrency accounts were de facto deposits — OCC did not rest its denial on that. Denial does not bar a future de novo refiling (OCC Bulletin 2026-27). Wise plans to refile under a GENIUS Act framework (SEC 6-K). Law360. Post-denial: ICBA (7/24) — the only trade group that formally objected during the application — said the denial was "consistent with" the concerns it raised.

Unverified, flagged for next update: "The First National Bank of Cooper" remains on the OCC Digital Assets Licensing Applications index with a 2026-07-08 receipt date (re-checked again Aug 25, 2026); its nature and scope still could not be confirmed from public sources — it is a pre-existing small national bank (Cooper, TX, charter #13046), not an obvious de novo/conversion NTB applicant. OCC index. Also reviewed and excluded as out of scope: Interactive National Trust Bank (CD #1373, an Interactive Brokers subsidiary) — fiduciary custody for mutual funds/ETFs, not a digital-asset trust charter; and Itaú Bank, N.A. (CD #1386, Aug 14, 2026, Miami) — an insured, full-service de novo national bank with full fiduciary powers, capitalized at $507M and targeting high- and ultra-high-net-worth Brazilian and Latin American clients, with no digital-asset activity and no public comments received. Also excluded this pass: Stark Bank — a Brazilian fintech’s de novo, insured, fully digital business-banking charter (filed Jul 15, 2026) for payments, deposits, treasury management, corporate cards, merchant acquiring, and business loans aimed at U.S. companies with Brazil/LatAm ties; no digital-asset or stablecoin activity found in public reporting, excluded on the same grounds as Itaú.
Cross-cutting roadblocks worth watching. Three structural headwinds cut across the pipeline: (1) the Federal Reserve's "payment account" (skinny master account) proposal, formally out since May 20, 2026, has effectively paused ordinary master-account approvals for uninsured national trust banks — cited by Wise as making its original model non-viable; the comment period closed July 27, 2026. The Fed has separately directed Reserve Banks to freeze all Tier 3 master-account applications through December 31, 2026 — nationally-chartered trust banks without a Fed-regulated holding company sit in Tier 3, so the freeze effectively covers this whole cohort. Proposed accounts would bar interest, discount-window access, and daylight overdrafts, with an overnight-balance cap (proposed: lesser of $500M or 10% of the holder's total assets); Fed Gov. Waller has targeted a final rule by end of 2026. (2) an organized opposition campaign by ICBA (urging the OCC to pause all NTB approvals), the Bank Policy Institute, and NCRC, all challenging the OCC's statutory authority to charter uninsured, non-fiduciary crypto trust banks outside the Bank Holding Company Act framework; and (3) the GENIUS Act's statutory July 18, 2026 deadline for final implementing rules was missed — Comptroller Gould committed on August 19, 2026 to publishing the OCC's final stablecoin rules by November 2026, and reaffirmed that target at the Wyoming Blockchain Symposium this week: "We are very intent on moving quickly and getting a final rule out by November so that we will be able to start processing applications within the new year." The OCC's BSA/AML/sanctions NPRM and the related five-agency Customer Identification Program proposal closed for comment August 21, 2026; Treasury separately opened comment on August 17, 2026 on AML and sanctions duties for stablecoin issuers, running to October 19, 2026. On current timing the Act takes effect around January 2027 (the earlier of 18 months after enactment or 120 days after final rules).
New this pass — a filing can now vanish without a decision. Under OCC Bulletin 2026-27 ("Filing Decision Process," June 17, 2026; NR-OCC-2026-47), the OCC may return a materially deficient filing before any meaningful processing — no decision, no press release, no Corporate Decision number. Zerohash is the first NTB applicant this has happened to (returned July 17, 2026; surfaced publicly ~August 12), and it refiled on August 19 under a new control number with a deliberately narrowed scope. Because returns are not announced, removal from the OCC's Digital Assets Licensing Applications index is the only public signal — which is how it was caught. But the refiling exposes the opposite failure: six days later that index still did not list it, though the OCC had recorded the application and opened a comment period. The index catches removals and lags additions, so it cannot be the only check. Every pending applicant carries this procedural risk alongside conditional approval and denial.
New this pass — the NTB charter now has a cheaper competitor, and it is the operating subsidiary. In Corporate Decision #1388 (letter dated July 23, 2026, published September 2026) the OCC approved SoFi Bank, N.A. to establish an operating subsidiary under 12 CFR 5.34(e) that will "engage in the issuance and redemption of payment stablecoins, including payment stablecoins that are branded by Bank and payment stablecoins issued on behalf of third-party clients" — white-label issuance included. The regulatory load is a fraction of what this cohort carries: one condition (GENIUS Act conform / cease / divest, enforceable under 12 USC 1818) and a 12-month deadline to establish the subsidiary. No capital minimum. No eligible-liquid-asset floor. No 180-day operating-expense reserve. No senior-officer vetting condition. No three-year condition period. Set that against an NTB stablecoin issuer — $15M to $60M in Tier 1, at least half of it in eligible liquid assets, 180 days of wind-down operating expenses on top, officer no-objections, and a 12-/18-month expiry clock. Two consequences worth tracking: an entity that already holds a full-service national charter reaches stablecoin issuance far more cheaply than an NTB applicant can; and it lands directly on the white-label NTB models — Bastion and Agora — whose pitch is issuing on behalf of third parties. OpenReserve intends exactly this structure, and CD #1389 confirms its subsidiary application has not yet been filed. SoFi's 2022 charter originally carried a condition barring crypto-asset activities; SoFiUSD launched in December 2025 and reached retail members in May 2026, so CD #1388 formalises and extends a live business rather than starting one.
OCC posture. In a statement on August 11, 2026 (NR-OCC-2026-67), Comptroller Jonathan Gould said entities engaged in legally permissible activities, "including those involving digital assets and other novel technologies," should have a path into the national banking system, and that "America and the OCC are once again open for business." He cited 40 de novo applications over 18 months and said many complete applications are decided within 120 days. The statement accompanied the FDIC's August 10 announcement of a reformed deposit-insurance application review process. Read against the same three-week window — the Wise denial (July 21), the Zerohash return (July 17), the bunq denial (August 4) and the World Liberty approval (August 14) — the throughput is real but so is the screening: an open door is not a low bar.
